(‘Client’, ‘you’) agree to be fully bound by these Terms and Conditions. If you do not agree with any part of these
Terms, please do not use our services.
Services Offered
Brandnexainfotech.com is a digital agency based in Chandigarh, India providing the following services to clients
globally:
■ Search Engine Optimisation (SEO): On-page, off-page, and technical SEO strategies and reporting.
■ Web Design & Development: Custom website design, development, and ongoing maintenance.
■ Lead Generation: Strategy, campaign management, and execution to drive qualified leads for your
business.
The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Project
Agreement or Statement of Work (SOW) agreed upon by both parties prior to commencing work.
Client Responsibilities
To ensure the successful and timely delivery of services, you agree to:
■ Provide accurate, complete, and timely information, materials, and feedback required for the project.
■ Respond to requests for approvals or content within the timeframe outlined in the project agreement.
■ Ensure you hold full legal rights to any content, logos, images, or materials you provide to us.
■ Make payments in full accordance with the agreed schedule.
■ Notify us promptly of any changes to project scope, business direction, or requirements.
Intellectual Property
All creative work, code, designs, strategies, and deliverables produced by us remain the intellectual property of
the Company until full and final payment is received. Upon receipt of full payment, ownership of the agreed
deliverables transfers to the Client as specified in the project agreement.
Our proprietary methodologies, templates, internal tools, frameworks, and processes remain exclusively owned
by the Company at all times and may not be reproduced, distributed, or resold without prior written consent.
Payment Terms
Unless otherwise specified in your project agreement, the following payment terms apply:
■ A deposit (typically 50%) is required before any work commences.
■ The remaining balance is due upon project completion or per the agreed milestone schedule.
■ Accepted payment methods: PayPal, Stripe, Razorpay, UPI, bank transfer, and credit/debit card.
■ Invoices are payable within the timeframe stated on the invoice.
■ Late or outstanding payments may result in project work being paused until payment is received.
■ All prices are exclusive of applicable taxes, including GST where applicable in India.
Revisions & Change Requests
Each project includes a defined number of revision rounds as specified in the SOW. Revisions or changes
beyond the agreed scope will be assessed and may be billed at our standard rate. Significant scope changes
will require a revised SOW and updated cost estimate agreed upon by both parties.
Confidentiality
Both parties agree to keep confidential any proprietary, sensitive, or commercially valuable information shared
during the course of the engagement. This obligation of confidentiality shall survive the termination of the
agreement.
Limitation of Liability
To the maximum extent permitted by applicable law, Brandnexainfotech.com shall not be liable for any indirect,
incidental, consequential, or punitive damages arising from the use of our services, including but not limited to
loss of profits, loss of data, or business interruption. Our total liability in any matter shall not exceed the total
fees paid by you in the three (3) months preceding the claim.
We do not guarantee specific search engine rankings, traffic volumes, or lead quantities, as these outcomes are
subject to market conditions, algorithm changes, and other factors beyond our control.
Termination
Either party may terminate the engagement with written notice as specified in the project agreement. Upon
termination, all outstanding payments for work completed to date become immediately due. We reserve the right
to terminate services immediately in cases of non-payment, client misconduct, or a material breach of these
Terms.
Governing Law & Disputes
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any
disputes arising from or related to these Terms shall first be attempted to be resolved through good-faith
negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Chandigarh,
India.
Modifications to Terms
We reserve the right to update these Terms and Conditions at any time. Changes will be published on our
website with a revised effective date. Continued use of our services after any update constitutes your
acceptance of the revised Terms.
